Thomson Geer advised large scale 3D metal printing company AML3D on two capital raisings in 2024:

1. Placement and Rights Issue raising $6.9 million (May 2024)

2. Placement raising $30 million (Nov 2024)

Thomson Geer advised on each component of the secondary fundraisings, comprising a placement to sophisticated and professional investors and rights issue to existing shareholders. This involved undertaking limited due diligence, advising on placement agreements, preparing all documents for the rights issue, liaising with the ASX and finalising notifications/announcements for lodgement with the ASX.

Cap raise 1 was significant for the client to establish its US manufacturing hub, maintain its technology advantage and increase its strategic position in the US Defence sector.

Cap raise 2 was significant for the client to double the capacity of its US manufacturing hub, establish a facility in the European market, continue to develop its software and technology to maintain its competitive advantage and accelerate US, Australian and global growth opportunities.

The Thomson Geer team was led by Partner Sanushka Seomangal and supported by Lawyer James Ofosu-Asamoah.
