Thomson Geer acted for CZR Resources Ltd in relation to its all-scrip takeover by Fenix Resources Ltd, valuing it at A$70 million.
TG advised CZR on all aspects of the takeover approach from Fenix. This involved assisting with structuring the transaction (scheme compared to a takeover), negotiating with Fenix on the transaction structure and deal protection, assisting CZR to terminate it existing transaction with Miracle Iron to pursue the takeover offer from Fenix. We also assisted with due diligence on Fenix, transaction structuring and strategy discussions, deal protection advice, negotiations with CZR's major shareholder and advising on regulatory requirements and applications.
