Rebaza, Alcázar & De Las Casas in Lima, Peru, advised UNO Corp. and its subsidiaries, as borrowers and guarantors, on the domestic and international credit facilities for an aggregate undisclosed amount to finance the acquisition by UNO Corp. of a majority stake in Corporacion Primax.
Banco de Crédito del Perú and Banco Santander Perú S.A. acted as arrangers for the domestic loan, while Banco Santander and JPMorgan Chase acted as arrangers for the international loan. Miranda & Amado in Lima, Peru, Mayer Brown in New York, and Dentons in Panamá and Uruguay, acted as external counsels to the banks acting as lenders. Further, Holland & Knight in New York, ARIFA in Panama, and Guyer in Uruguay, acted as external counsels to UNO Corp. and its subsidiaries. The credit facilities comprised securities and undertakings in several jurisdictions where UNO’s subsidiaries operate, including Peru, Panama, and Uruguay.
