On June 30, 2025, Clio signed the agreements to acquire vLex for USD 1 billion. The price will be paid in a combination of cash and stock.

Clio is the world’s leading provider of cloud-based legal technology. It offers accessible solutions for lawyers with the aim of transforming the legal experience for all. Headquartered in Vancouver, Clio’s solutions are used in over 130 countries.

vLex, founded in Barcelona, is a global legal intelligence platform -and a pioneer in the field- offering access to the most extensive collection of legal and regulatory information. Since 2024, vLex operates Vincent, its AI-powered legal engine used by law firms around the world.

The legaltech company was sold by British private equity fund Oakley Capital.

Clio described this as the most significant acquisition in its history, both in scale and strategic impact. In addition to strengthening Clio’s legal platform, the transaction will accelerate its mission to transform the legal experience. With the acquisition, vLex also becomes one of Barcelona’s unicorn companies.

Rebaza, Alcázar & De Las Casas advised Clio on all aspects of the transaction governed by Peruvian law, including due diligence of vLex’s Peruvian subsidiary, merger control analysis, and review of the transaction documents.
