Emergent Cold -a leading provider of refrigerated storage and logistics- acquired 100% of the shares issued by Frialsa Peru.

Emergent Cold is the largest company for solutions in temperature-controlled food logistics in Latin America; while Frialsa is dedicated to the operation, storage logistics, and distribution of fresh, refrigerated and frozen food and beverages in Peru. The company is particularly recognized due to its cold chain logistics and has two distribution centers located in Callao and Lurin. The acquisition will allow Emergent Cold to consolidate its position as a leader in the cold chain logistics industry.

Frialsa was a partially owned subsidiary of Congelación y Almacenaje del Centro, which operates Frialsa in Mexico. The other 50% stake in Frialsa Peru was owned by Grupo Wiese—an investment fund that is part of the Wiese Group—a Peruvian conglomerate.

The transaction closed on May 23, 2025.

Rebaza, Alcázar & De Las Casas advised Emergent Cold on the transaction and was in charge of conducting the legal due diligence of Frialsa Peru and preparing all legal documents. The firm also advised the buyer on the request of the merger control authorization, which was issued by INDECOPI (Peruvian Antitrust Authority) on January 9, 2025.
