NNDKP assisted Tech Mahindra, a leading provider of digital transformation, consulting and business re-engineering services, in a multi-jurisdictional transaction, regarding the acquisition of the Allyis group. The total value of the transaction is estimated at USD 125 million.
NNDKP provided assistance on the Romanian law aspects regarding the local entity and was involved in all stages of the project, including in the due diligence analysis and various other aspects relevant to the project, in the review and negotiation of the relevant documents from a Romanian law perspective, and in the successful completion of the transaction.
The NNDKP team involved in this transaction was coordinated by Adina Chilim-Dumitriu, Partner and Co-head of the Corporate/M&A practice, who worked closely with Vlad Anghel, Senior Associate in the same practice. Also, a multidisciplinary team, consisting of lawyers specialized in Competition, Employment and Data Protection, advised on the due diligence process.
“Through this transaction, Romania reaffirms its position in the sophisticated technology services field, services that are focused on the “customer’s experience” and are meant to facilitate connectivity between users by redefining the standards of operational efficiency. We want to thank the Tech Mahindra team, as well as our international partners, for the opportunity to contribute to an ambitious project which will strengthen the group’s capabilities in digital experience solutions, marketing, and instructional design” mentions Adina Chilim-Dumitriu.
This transaction complements the M&A portfolio of deals in which NNDKP has been involved in the past 12 months in industries such as technology and IT, agri-business, energy and natural resources, finance and insurance, transport and logistics, automotive and medical services. These projects add to an impressive track record the firm has built in over 30 years of providing assistance in transactions with a cumulative value of tens of billions of euros, including in projects that have shaped the local business market.
