NNDKP provided assistance to the businessman Vicentiu Zorzolan in the simultaneous step sale, in coordination with his partner Octavian Radu, of the shares held in the companies Sistec Next Docs and Sistec Confidential. These two companies are the leaders on the Romanian market of integrated services for electronic archiving, document management and secure document destruction.
Sistec Next Docs and Sistec Confidential have experienced spectacular growth and continue to thrive in the midst of the innovative bursts brought by the technological revolution in the management of documents and information by both public and private organizations. The buyer is Inform Lykos SA, a company set up in 1897 that has a significant presence on the Central and Eastern Europe markets in the field of smart cards / digital security solutions as well as of printed solutions and products, security, transformation and digital communication matrix.
The transaction, which had as collateral aim the creation of a balanced medium–term partnership between the Sistec founders and the buyer, required significant negotiations and involved a large volume of documents and, despite its apparent similarity to other transactions, involved very specific elements and idiosyncratic details make it a clear-cut sophisticated M&A project.
The assistance provided to Mr. Zorzolan was coordinated by Adriana Gaspar, Senior Partner and the only Romanian lawyer specialized in mergers and acquisitions who was included into the Hall of Fame – the highest distinction to be bestowed upon a lawyer by the British organization Legal 500.
