Nestor Nestor Nestor Diculescu Kingston Petersen (NNDKP) acted as Romanian legal counsel to Globant, an IT and software development company present in 33 countries with more than 30,000 employees worldwide, throughout the entire merger process by which Globant IT Romania was absorbed by Pentalog Romania.
The transaction was part of a global decision designed to optimize and accelerate the expansion of Globant worldwide, including in Romania, following its acquisition of Pentalog in 2023. Integrating Globant IT Romania into Pentalog Romania will boost operational efficiency by consolidating resources and streamlining workflows, allowing for optimal allocation and maximum utilization of capital, workforce, and other key assets.
NNDKP provided comprehensive legal assistance and strategic legal guidance from a corporate perspective in all stages of the merger, as well as counselling on specific aspects related to the transfer of employees to ensure a smooth transition, the continuity of the business and a seamless integration of the two companies involved in the merger.
The NNDKP team advising on the transaction was coordinated by Răzvan Vlad, Partner, Corporate and M&A practice, who worked closely with Vlad Anghel, Senior Managing Associate, from the same practice, on the corporate aspects, and Daniel Stăncescu, Managing Associate, on the employment matters.
This transaction follows another merger process finalized in 2024 with NNDKP assistance, through which two Globant subsidiaries in Romania, Pentalog Romania S.R.L. and Pentalog HR Romania S.R.L., were merged.
