Mayora & Mayora, represented by its partners Eduardo A. Mayora, Rafael Briz Méndez, and Carlos Roberto Ortega Aycinena, advised the companies Distribuidora de Electricidad de Oriente and Distribuidora de Electricidad de Occidente (known as ENERGUATE) in a landmark financial transaction that included a USD 100 million direct financing granted by the International Finance Corporation (IFC), complemented by the issuance of an international bond for USD 670 million.
This operation, structured under the “A/B Bond” model, is one of the first of its kind in Guatemala and the largest in IFC’s history, according to the institution.
Mayora & Mayora’s legal advisory covered — among other areas — regulatory, banking, and financial matters, including the review and negotiation of credit agreements, coordination with international law firms, issuance of legal opinions under Guatemalan law, validation of corporate documents, and the review of documents related to the international bond issuance.
We thank Energuate and IFC for the trust placed in Mayora & Mayora and congratulate all teams involved for the success of this unprecedented transaction, which marks a milestone in Guatemala’s financial and energy sectors.
This achievement reaffirms our commitment to providing top-tier legal counsel in complex and strategic transactions, contributing to economic development and investment attraction in the region.
