Marval O’Farrell Mairal advises YPF SA on the acquisition of 50% of Refinor

Marval advised YPF SA on the purchase of 50% of the share capital of Refineria del Norte SA (Refinor), a company that operates across the entire value chain of fuel and gas transportation and commercialization in the north of Argentina.

The shares were acquired from Hidrocarburos del Norte, a company that belongs to Grupo Integra, an Argentine holding with presence in strategic sectors such as energy, mining, agribusiness, and financial services.

With this transaction, YPF assumed control of 100% of Refinor’s share capital, who will continue operating as part of the YPF Group.

This transaction is strategic for YPF, as it enables the company to secure the operation of the pipeline that connects YPF’s dispatch terminal in Montecristo (Province of Cordoba) with Refinor’s hub in Banda del Rio Sali (Province of Tucuman), optimizing fuel supply logistics across the Northwestern Argentina (NOA) region. Refinor also manages a network of more than 70 gas stations located in the Provinces of Tucuman, Salta, Santiago del Estero, La Rioja, Jujuy, Catamarca, and Chaco. Following this acquisition, YPF ensures operational continuity and supply throughout the region.

Marval O’Farrell Mairal advised YPF SA through a team led by partners Diego Chighizola, Soledad Riera, and Fernando Vaquero, together with associates Santiago Pablo Cruz and Lourdes Cohen Garcia.

The YPF’s in-house legal advisors were Fernando Gomez Zanou, Marina Laura Quinteiro, Paola Garbi, Pilar Rodriguez Salto, and Damian Teglia.
