Martinelli advises Gefran on agreement to acquire NOVUS Automation

Martinelli Advogados advised Italian group Gefran on its acquisition of NOVUS

Automation, a Brazilian company specializing in instruments and digital solutions for

industrial automation, based in Rio Grande do Sul.

The Share Purchase Agreement was signed on 28 August through Gefran's Brazilian

subsidiary, covering the acquisition of Novuspar Participações and the other companies

that make up the NOVUS group in Brazil, Argentina and the United States Completion

of the transaction remains subject to the fulfillment of the conditions precedent set out

in the agreement.

The deal brings together two internationally active companies in a sector that plays a

central role in industrial modernization. Sensors, control systems and monitoring

platforms make it possible to track processes in real time, increase production efficiency

and reduce risk in operations where precision, traceability and operational continuity are

essential.

Founded in 1982, NOVUS develops sensors, process controllers, transmitters, data

loggers and cloud-based platforms for industrial monitoring. Headquartered and

manufacturing in Canoas, Rio Grande do Sul, the company exports to more than 60

countries and has operations in Argentina and the United States.

The transaction will allow Gefran to add complementary technologies to its portfolio

and expand its presence in sectors such as pharmaceuticals, food and beverage,

renewable energy, building automation and cold chain logistics. It also brings the two

companies' commercial and technological structures closer together across different

markets.

Founded in 1969 and listed on the Italian Stock Exchange, Gefran develops sensors,

components and solutions for industrial automation. The group has production facilities

in Italy, Switzerland, the United States, Brazil and China, as well as commercial

offices in several countries.

The cross-border nature of the deal required coordination of Brazilian and foreign legal

work, including the transaction's international structure. Martinelli's team, led by

partners Ettore Botteselli (M&A) and Claudia Freitas (Tax), handled preliminary

agreements, legal due diligence, the drafting and negotiation of definitive agreements,

and the transaction's tax structuring, among other matters required for closing.
