The Firm advised Kandeo Fund II (Perú) Servicios Financieros and Kandeo Spain Latam S.L.U. in an investment agreement with Corporación San Ignacio de Loyola S.A. (the "Corporation"). We helped in the drafting and negotiation of an Investment Contract by which Kandeo invested US$ 50MM in the Corporation for the development of business plans in Universidad San Ignacio de Loyola (Peru), USILSA S.A. (Paraguay) and San Ignacio University, Inc. (Florida, USA).
The acquisition of private equity in the Corporation allowed Kandeo to indirectly invest in a leading university in Peru and an educational business in Paraguay and the United States of America. Also, the investment agreement was structured to allow the incorporation of new investors in the business which required the negotiation of the shareholders agreements considering the possible entrance of this new investor. An additional layer of complexity arose with the existence of minority shareholders in Paraguay which meant a special detail of negotiations of the investment agreement.
