JunHe Advised MINISO on Completing its Primary Dual Listing on the Main Board of the Hong Kong Stock

On 13 July 2022, MINISO Group Holding Limited ("MINISO" or the "Company") was listed on the Main Board of the Hong Kong Stock Exchange (stock code 9896) with a global offering of 41,100,000 ordinary shares, raising gross proceeds of almost HK$ 600 million. After previously assisting MINISO in its successful listing on the Main Board of the New York Stock Exchange in 2020, JunHe acted as the Company's PRC lawyer and assisted it in completing its primary dual listing on the Hong Kong Stock Exchange.

As of 31 December 2021, MINISO had the most extensive global store network in the private-label general retail sector in terms of the number of countries and regions that it is present in, with more than 5,000 stores worldwide and a presence in approximately 100 different countries and regions, making it the world's largest private-label lifestyle and home furnishing general retailer.

In this project, JunHe acted as the issuer's PRC legal adviser. Under a very tight schedule and having to overcome the adverse impact of the epidemic and other difficult factors, JunHe conducted inbound legal due diligence and assisted the Company in the standardization of the complex legal matters. JunHe’s team reviewed and revised the prospectus, issued China legal opinions, undertook data compliance and cybersecurity due diligence reports, and assisted in responding to the concerns of the Hong Kong Securities and Futures Commission (SFC) and the Hong Kong Stock Exchange (SEHK) regarding PRC legal issues. The team reviewed the concurrent disclosure documents submitted to the US SEC's, and ultimately helped MINISO to successfully obtain approval for the listing application from the Hong Kong Stock Exchange. JunHe’s diligent work and meticulous attitude won the unanimous recognition and trust of the Company and the other intermediaries.
