The Hogan Lovells Warsaw office advised Arcus Infrastructure Partners on the acquisition of an 85% stake in the Gdańsk Transport Company S.A. - a special purpose company which is the owner and concessionaire for the northern section of the AmberOne A1 motorway in Poland (one of the country's main traffic routes).

In December 2016, Arcus Infrastructure Partners finalised the acquisition of NDI Autostrada sp. z o.o. (which owns a 25.31% stake in the Gdańsk Transport Company S.A.) from Grupa NDI S.A., and the Transport Infrastructure Investment Company S.a r.l.

In November 2016, NDI Autostrada Sp. z o.o., as part of their acquisition strategy, used its priority right to acquire a 30% stake in the Gdańsk Transport Company S.A. from A1 Invest AB Skanska, and 29.69% of the shares from John Laing Infrastructure Limited. These transactions were completed in February and March 2017 respectively.

In terms of value, this was the fourth largest M&A transaction in Poland in 2016.

Hogan Lovells also represented Arcus Infrastructure Partners, and APG Asset Management, with the acquisition of the Gdańsk Transport Company’s clearance proceedings before the Polish antimonopoly authority.
