On August 13, 2025, Grupo UNO signed the binding agreement to acquire a majority stake in Primax, owned by Grupo Romero. Through this transaction, Grupo UNO would assume control of Primax’s operations in Peru and Ecuador, as well as the acquisition of 100% of Primax’s operations in Colombia.
Grupo UNO is a leading Honduran corporation with business lines dedicated to mobility solutions, import of petroleum derivatives, their storage, transportation, distribution, and sale across Latin America.
Primax is a downstream platform, which distributes petroleum and gas products. The company was founded by Grupo Romero in 2005 and now has direct operations in Peru, Colombia, and Ecuador. Primax has more than 2,000 service stations and 200 convenience stores across the countries in which it operates.
This transaction represents an important milestone in the fuel distribution sector in the region, strengthening Grupo UNO’s regional capacity and presence, and laying the foundation to accelerate the sustainable growth of its business.
Holland & Knight led the negotiation of the transaction, which was governed by New York law. Rebaza, Alcázar & De Las Casas acted as UNO’s lead legal counsel in Latin America, overseeing the negotiation and coordination of local law matters across the various jurisdictions involved in the transaction.
