Rebaza, Alcázar & De Las Casas advised Fondo Mivivienda S.A. to complete its offering of US$600 million due 2027 in the international markets, under the Rule 144A and Regulation S international, and in the repurchase in cash of the foreign market previously issued debt called “3,500% Notes due 2021” of US$ 477’012,000 ). Closing of the transaction was held on April 12, 2022.

The debt offering was principally acquired by banks, insurers, pension fund administrators and international asset managers. Bofa Securities, Citigroup and J.P. Morgan acted as underwriters.

The proceeds of the new issue will be used to promote existing or future investments in, or, financing of, on one side, Eligible Green Projects which consist on financing investments and expenditures for the purchase, construction, renovation, or maintenance of certified sustainable housing units; or, on the other side, Eligible Social Projects which also consist on investments and expenditures for the repurchase, construction, renovation, or maintenance of housing with the difference that these are specifically destinated to underprivileged individuals in quality access to affordable housing, including first-time home owners in low and moderate income areas in Peru, and must meet special requirements indicated in the notes offering´s final memorandum.

Fondo Mivivienda is a Peruvian state company under private law which dedicated to the promotion and financing of the acquisition, improvement and construction of housing, as well as carrying out activities related to the promotion of the flow of capital towards the housing financial market.
