Dentons Link Legal acted as legal counsel to GPT Infraprojects Limited in connection with its acquisition of 100% shareholding in Alcon Builders and Engineers Private Limited for a total consideration of INR 15,183 Lakhs. The scope of work included undertaking comprehensive legal due diligence, advising on transaction structuring, drafting, reviewing and negotiating the share purchase agreement and ancillary transaction documentation, and providing end-to-end transaction management and closing assistance. The share purchase agreement was executed on January 28, 2026, and the transaction was successfully closed on February 27, 2026.

The transaction is strategically significant as it enables GPT to enter the high-margin signalling EPC segment and secure immediate management and operational control over a pre-qualified and experienced platform, further strengthening its long-standing engagement with Indian Railways.

The acquisition is expected to support the integration of Alcon’s signalling, telecommunication and allied capabilities into GPT’s existing EPC portfolio, enhance its market positioning, and enable it to effectively leverage the limited availability of qualified signalling EPC players and the robust rail infrastructure capex pipeline in India, while ensuring a smooth transition of governance and operational continuity.
