Djingov, Gouginski, Kyutchukov & Velichkov Law Firm (DGKV) advised Bulpros Consulting AD on the acquisition financing with respect to the acquisition of a global software business held by three companies from а German Group, one of which incorporated in the United Kingdom and two incorporated in Germany. Bulpros Consulting AD (through its German subsidiary) acquired majority interest in GROUP Business Software Europa GmbH, GROUP Business Software (UK) and GBS Pavone Groupware GmbH. The transaction creates one of the largest Bulgarian IT services and solutions suppliers.

DGKV’s team work included review and negotiation of a term loan and guarantee issuance facilities agreement with Unicredit Bulbank AD, as well as the other documents and instruments related thereto (including the security documentation governed by Bulgarian law).

CMS Cameron McKenna LLP – Bulgaria Branch/Duncan Weston was reportedly involved as advisors of UniCredit Bulbank AD and Gleiss Lutz conducted a limited high-level legal review of certain legal issues under German law relating to the German targets.
