Global law firm Dentons has advised Volkswagen on all aspects of antitrust and merger control law in connection with the formation of a joint venture with Italian energy supplier Enel X.
The joint venture will build and operate a high power charging network in Italy. The network will comprise more than 3,000 fast charging points in Italy, each with a charging speed of up to 350 kW. The focus will be on city centres as well as important commuter routes and connecting roads outside of cities.
Due to the worldwide activities of both companies, merger control filings were required in numerous states. The proceedings at the EU Commission were unusual in that the EU Commission referred the case to the Italian antitrust authority (AGCM). There, after an in-depth examination, the transaction was cleared without conditions and obligations. The closing took place on 29 December.
Dr Florian Wiesner (Düsseldorf) led Dentons’ cross-border Competition and Antitrust team on the deal. The team included senior associate Dr. Arne Karsten in Dusseldorf; associate Dr. Lisa Charlotte-Krause in Berlin; partner Michele Carpagnano, associate Giulia Giordano, and trainee Giovanni Diana in Rome; partner Volodymyr Monastyrskyy and senior associate Evgenia Prudko in Kyiv; and partner Sahin Ardiyok, counsel Evren Sesli, and associate Cigdem Okkaoglu at Balcıoğlu Selçuk Ardıyok Keki Attorney Partnership (BASEAK) in Istanbul; partner Mehdi Megzari and associate Khadija Zoulali in Casablanca; partner Santiago Ried and associate Jorge Lazo in Santiago de Chile; partner Mahmoud Abdel-Baky, senior consultant Simon Topping and associate Mohammed Al Majed in Riyadh; as well as partner J. Michael Lacey and senior associate Ahmad Rashed in Cairo
Dr. Markus Twele, in-house competition lawyer at Volkswagen, played a key role in the deal.
