The agreement for the acquisition of 100% of the shares of Digicel El Salvador by General International Telecom El Salvador, S.A. represents one of the most significant corporate transactions in the Salvadoran telecommunications sector in recent years and is a transaction of particular importance for a sector that is strategic to the country’s connectivity and economic development.
In this transaction, Consortium Legal served as the Salvadoran legal counsel to Digicel Group, providing comprehensive advice on the legal, tax, regulatory, and antitrust aspects of the transaction. The firm’s support included structuring the transaction, conducting seller due diligence, preparing the data room, and reviewing and negotiating binding offers and other transaction documents.
The transaction reflects the dynamism of the Salvadoran market and the growing importance of large-scale corporate transactions in strategic sectors. Its closing is subject to obtaining the necessary regulatory approvals, a process in which Consortium Legal continues to advise Digicel Group.
“This is a transaction of particular significance for El Salvador, both due to its scale and because it takes place in a sector that is strategic for the country’s economy and connectivity. We are pleased to support Digicel Group in a transaction of this nature, drawing on our expertise in corporate, tax, regulatory, and competition matters. Currently, the transaction is subject to the necessary regulatory approvals, a process we will continue to support alongside our client until its completion”, said Óscar Samour, lead partner at Consortium Legal in El Salvador.
This transaction reaffirms the firm’s expertise in advising domestic and international companies on highly complex corporate transactions of significant market relevance, through multidisciplinary teams capable of supporting all stages of a transaction.
The Consortium Legal team was led by Óscar Samour and Felipe Aragón, partners at the firm in El Salvador, and their teams, who provided advice on the various legal, tax, regulatory, and antitrust aspects of the transaction.
