Bernitsas advises Aktor on its indirect acquisition of 75% in HELECTOR and THALIS (the Targets) through the direct acquisition from Motor Oil of an equal stake in MANETIAL LIMITED, the parent company of the Targets, pursuant to a binding share purchase agreement signed on 5 August 2026 (the Transaction). Completion of the Transaction is expected no later than the first quarter of 2027 and is subject to customary conditions for transactions of this nature, including approval by the Hellenic Competition Commission.

The Transaction forms part of the implementation of Aktor’s strategic plan and is expected to significantly strengthen its group’s position in the rapidly growing sector of circular economy and environmental management, adding a leading portfolio of waste management projects and activities and creating significant operational synergies with the group’s other business sectors.

Aktor is a leading market player in Southeast Europe, leveraging 70 years of experience to implement large-scale technical projects, and strategically invests in sectors such as green energy, real estate, PPPs, and facilities management.

HELECTOR operates in the waste management sector, with a focus on the operation and exploitation of waste treatment facilities and concession projects (PPPs), both in Greece and abroad, while THALIS is active in the design and construction of waste management projects and environmental infrastructure.
