On February 13, 2025, Grupo Financiero Galicia S.A. issued 17,740,028 new book-entry, Class “B” ordinary shares, with a nominal value of AR$1 each and carrying 1 vote per share, in order to proceed with the price adjustment payment established in the share purchase agreement dated April 9, 2024, between Grupo Galicia and Banco de Galicia y Buenos Aires S.A.U., on one side, and HSBC Latin America B.V. and HSBC Latin America Holdings (UK) Limited, on the other, for the acquisition of HSBC in Argentina.

The new shares were allocated to shareholders in Argentina within the framework of the exercise of preferential and accretion subscription rights and to ADS holders abroad (in the form of ADSs). The funds contributed by these investors (at a previously fixed price of US$5.382 per new share or US$53.82 per ADS) allowed the settlement of the remaining debt with HSBC under the share purchase agreement.

The issuance of the new shares enabled the full completion of the purchase price payment agreed upon in the share purchase agreement, thereby financing 100% of the transaction through the capital markets. This issuance follows Grupo Galicia’s previous share offering in December and the international bond issuance carried out by its subsidiary, Banco de Galicia y Buenos Aires S.A.U.

The public offering of the New Shares was authorized by the Argentine Securities and Exchange Commission (Comisión Nacional de Valores – CNV) on December 23, 2024, while their listing was approved by Bolsas y Mercados Argentinos S.A. on January 22, 2025.
