ARIAS ADVISED IMCD N.V. IN 5 COUNTRIES
IMCD N.V., a leading distributor of speciality chemicals and ingredients, signed an agreement to acquire 100% of the business and the subsidiaries of Quelaris Internacional S.A., a LATAM regional raw material distributor with offices in Colombia, Costa Rica and Peru.
Arias acted as lead counsel for IMCD Group, coordinating the due diligence matters and negotiations with the Sellers, as well as coordinating with the local counsels in Colombia, Perú, Chile, Dominican Republic, and Guatemala as part of the relevant jurisdictions and Honduras, Panamá, El Salvador and Ecuador as part of the out-group jurisdictions.
This deal was complex as it involved the coordination of 9 jurisdiction's due diligence and specific local matters such as labor, regulatory and compliance, while dealing and reporting all matters to the client.
