Five companies of the Şişecam Group, four of which are publicly held, namely Anadolu Cam, Denizli Cam, Paşabahçe, Soda Sanayii and Trakya Cam have merged under Şişecam and the transaction was completed as of September 30, 2020. The Merger Transaction is the biggest merger in Turkish capital markets.

Partner & Competition and Compliance Leader Mert Karamustafaoğlu advised on the regulations of the Energy Market Regulatory Authority. He represented the Client in the obtainment of the relevant permissions before the Energy Market Regulatory Authority in relation to the merger transaction.

Managing Associate Nezihe Boran represented the Client in all facets of the merger transaction in respect of the capital markets, being providing advice on requirements and procedures under capital markets legislation, drafting of an announcement text, coordinating the application to the Capital Markets Board of Turkey for its approval to the announcement text and carrying on the communications therewith, drafting announcements to be published through public disclosure platform, and carrying on the other procedures required under the capital markets legislation.

Tax Counsel Canan Doksat was engaged in the corporate & tax law side of the transaction including the preparation of the merger plan, merger report, all the relevant board of directors resolutions, preparation of general assembly meeting documentation & management of the general assembly meetings, preparation of all the registration documentation required for the transaction to be completed before the relevant trade registries and management of the registration procedure of the merger transaction.
