On October 5, 2020, the refinancing of Trevali Mining Corporation closed, which involves guarantors in various jurisdictions, including Canada, Peru, Namibia and Burkina Faso, where the company maintains mining operations.
Rebaza, Alcázar & De Las Casas in Lima, and McCarthy Tétrault in Toronto advised Glencore Canada Corporation in the granting of a secured loan for an up to US $ 20'000,000.00 in favor of Trevali. Meanwhile, PPU and Faskens advised the lending banks led by The Bank of Nova Scotia on the second amendment and restated credit agreement for an up to $ 150,000,000. Both Glencore and the banks obtained and share a package of securities on Trevali's assets, mining rights and other assets in the different jurisdictions where it operates, and within an intercreditor agreement.
Additionally, Blakes, Cassels & Graydon, Estudio Echecopar, Hamlins LLP, Cox & Palmer, Conyers Dill & Pearman Limited, H.D. Bossay & Co. and Yanogo Bobson SCP participated as advisers to Trevali in the jurisdictions of Canada, Peru, United Kingdom, New Brunswick, Bermuda, Namibia and Burkina Faso, where securities were created in favor of Glencore and the banks.
Likewise, in the same jurisdictions, McCarthy Tétrault, Rebaza, Alcazar & De Las Casas, McCarthy Tétrault (UK), McInnes Cooper, Appleby Bermuda, ENSafrica & Co., Cabinet Savadogo & Associés and Niederer Kraft Frey Ltd. participated, respectively, as advisers to Glencore.
The closing of this cross-border financing transaction represents an important milestone for Trevali in the consolidation of its financial debt for the development of its mining operations.
Trevali is a mining company that produces base metals such as zinc, lead and silver, and is headquartered in Vancouver, Canada. In New Brunswick, Canada, the company operates the Caribou mine. In Peru, Trevali operates the Santander mine that produces 2,000 tons per day and began production in 2013. In the African countries of Burkina Faso and Namibia, the company is the majority holder of the rights to the Perkoa and Rosh Pinah zinc mines, respectively.
