Gidon advocates for companies and their directors and officers in litigation involving corporate control contests, governance disputes, class and derivative actions involving fiduciary duties and claims under the federal securities laws, merger & acquisition litigation, and other complex commercial litigation. He represents companies and their directors, audit committees, and officers in internal and SEC investigations and enforcement actions involving complex accounting issues, insider trading claims, and regulatory compliance. He was co-lead trial and appellate counsel in the landmark Dell appraisal litigation in the Delaware Chancery Court.
