Transactional and regulatory practice for clients throughout the healthcare and life sciences industries, representing academic medical centers, medical schools, health systems, hospitals, long-term care institutions, physicians and other life sciences and health care providers, private equity investors, insurance companies and managed care organizations. Transactional experience includes mergers and acquisitions, and collaborative affiliations of all types (including serving as lead counsel in the $3.75 billion sale of a major New York HMO to the largest provider of government-sponsored health insurance in the country; and the $100 million sale of a Minnesota-based third-party health administration company to a private equity firm). Regulatory experience includes a national practice dealing with ACGME and LCME accreditation of undergraduate and graduate medical education programs in medical schools and academic medical centers, as well as digital health, clinically integrated networks, corporate compliance and governance, fraud and abuse, HIPAA, clinical research, medical staff, and Medicare/Medicaid matters. Broad representation of not-for-profit and tax-exempt organizations, including governance, fiduciary responsibility, and executive compensation analyses.
