Agreements under the Proposed Merger of Axtel and Alestra (subsidiary of Alfa)


Mexico City December 9, 2015. Santamarina y Steta recently advised and counseled Alfa, S.A.B. de

C.V., Onexa, S.A. de C.V., and Alestra, S. de R.L. de C.V. in the implementation and execution of the

definitive agreements under the Proposed Merger of Axtel and Alestra (subsidiary of Alfa).

Axtel will survive as an operating and publicly-traded holding company, including Alestra as a

subsidiary, and is expected to issue new shares to ALFA representing approximately 51% of the

combined entity ownership.
