Corporate & M&A:
Corporate work is at the heart of the firm’s practice and forms the basis of the core practice areas. The firm’s main client focus is on cross border, private equity and M&A transactions.

Representative Deals:
■Assisted General Electric Company in connection with the completion of the transfer of ownership of the three joint ventures that were established at closing of the acquisition of Alstom’s Power and Grid assets. Value of this deal was approx. USD 3 billion. During 2015, Van Campen Liem also assisted GE in connection with its initial USD 10.6 billion acquisition of Alstom’s power and grid businesses, and the establishment of the three joint ventures. Van Campen Liem also assisted General Electric Company in connection with the combination of its oil and gas business with Baker Hughes
■Assisted Frank’s International N.V. in connection with its acquisition of Blackhawk Group Holdings, Inc., from Bain Capital Private Equity. The total consideration amounted to approximately USD 294.4 million
■Assisted VINCI Airports with the Dutch legal aspects relating to the acquisition of nine airports and three partial management contracts following the acquisition of the airport portfolio held by Airports Worldwide
■Assisted with the completion of the acquisition by Saffelberg Investments of a strategic stake in Effortel, a globally leading Mobile Virtual Network Enabler ■Assisted TIP Trailer Services Netherlands B.V. with its acquisition of Twan Heetkamp Trailers B.V., a Dutch rental and leasing company, which has a fleet of around 3,000 trailers operating across Europe
■Assisted Netlog Lojistik Hizmetleri, Turkey’s largest integrated logistics company with a strong presence in Europe and Asia, in connection with the sale of a minority stake in Netlog Lojistik Hizmetleri to the Abraaj Group, a leading investor operating in growth markets Assisted Fiber-Line, a global leader in customised engineered fibers and composite materials, in connection with the sale and transfer of subsidiaries to PolyOne Corporation and Color Matrix Europe Limited.

Private Equity & Venture Capital:
Van Campen Liem’s expertise also includes acting for private equity investors, fund managers and founders of companies who are taking private equity on board. The firm’s lawyers advise on the full range of transactions from venture capital investments to larger cross-border PE deals and from the initial setting up of a fund and setting up of the investment structure all the way through to exit.

Representative Deals:
■Acted as Dutch tax and legal counsel to Mobileye in respect of its acquisition by Intel. Value of this deal was approximately USD 15 billion
■Assisted Peninsula Investments in the possible acquisition of a majority stake in Aernova in consortium with TowerBrook
■Advised Akina Partners and its shareholders in the acquisition of the Akina Group on behalf of Unigestion SA and the merge of their private equity operations to create a USD 6 billion AUM market leader in global small and mid-market private equity
■Advised Orolia and the leading French PE asset manager Eurazeo on the acquisition of 100% of the shares in NetWave systems

Investment Funds:
The firm’s investment funds practice focuses on private equity and venture capital funds, real estate funds and hedge funds as well as renewable energy and impact investments funds. Van Campen Liem advises fund managers in fund structuring and formation projects as well as LPs and institutional investors when negotiating their participations into funds. The firm has a specific expertise in funds secondary and secondary direct deals.

■Assisted as a lead counsel on the structuring, formation and interim closings of three Akina advised private equity funds: Euro Choice VI, Euro Choice Direct Fund & Euro Choice Secondary II
■Assisted as lead counsel on the structuring, formation, extensive negotiations and closing of Peninsula Investments II SCA, a mandate fund set up for one of the most reputable institutional investors in Abu Dhabi
■Assisted as lead counsel on the structuring, formation and initial closing of CCL SEE Turkey SME Lending Facility (set up jointly by CL Capital)
■Assisted as lead counsel on the structuring and formation of CryptoCrunch Blockchain Fund, a hedge fund focused on investments revolving around crypto currencies, (digital) tokes, shares and other assets that exist on any blockchain
■Assisted as Dutch counsel in relation to purchase by Lexington Partners of private equity fund stakes from Assicurazioni Generali SPA
