DISPUTE RESOLUTION

Our dispute resolution team assists and represents clients in litigation before the State courts and in arbitration proceedings, whether ad hoc or administered by the major Italian and international arbitral institutions.

The dispute resolution team is routinely involved in complex national and multi-jurisdiction litigation and arbitration for Italian and foreign clients in disputes concerning M&A transactions (such as pre and post-closing litigation and Shareholders’ Agreements), joint ventures, commercial contracts, IP and unfair competition, banking, finance, and insurance litigation.

Members of our team usually serve as counsel or arbitrators in complex proceedings.

CORPORATE, M&A:

We assist our clients in both domestic and cross-border mergers, demergers, acquisitions, sales of businesses and in any other extraordinary transaction related to the transfer, consolidation, and reorganisation of both listed and non-listed companies.

We assist industrial operators and private equity, venture capital and private debt operators in relation to M&A, leveraged/management buy-out and management buy-in transactions, crowd funding, start-ups. We also assist investment banks and advisory companies in setting up the appropriate corporate structures for the proposed transaction.

ADMINISTRATIVE AND PUBLIC LAW

Our team has a consolidated experience in administrative and public law, including litigation and judicial review before the administrative courts, with a particular focus on public procurement, energy, environmental, authorization and concession process, real estate development, planning permission, town and country planning and permits.

We advise and represent private clients (including landowners, developers, investors, general contractors, suppliers, banks, financial institutions), municipalities, and governmental bodies in a variety of regulatory and administrative issues relating to the public sector.

ENERGY

Our team is particularly recognized in the energy industry and offers a breadth of services covering all the legal aspects involved in energy transactions: M&A, joint ventures and other investments, contracts (including Development Service Agreements, Engineering Procurement and Construction Agreements, Operation & Maintenance Agreements, Power Purchase Agreements, etc..), administrative law and regulatory (non-contentious and contentious), environmental law.

We assist foreign investors and Italian clients (private and public) during the entire process of acquisition, development, and sale of renewable energy projects.

Together with our litigation and arbitration practice, we create cross-practice teams and assist clients in complex domestic and cross-borders court and arbitration disputes arising out of energy transactions.

LABOUR

We advise and represent clients in court in relation to employment contracts, including executives’ contracts, agency and commercial representation, disciplinary procedures, transfer and secondment, particularly abroad, and any other connected matter (including social security, illness, injuries, health and safety).

We assist in trade union law and redundancy procedures and in the implementation of smart working, corporate welfare, and supplementary pension plans. We are also pleased to carry out HR training activities for our clients.

INTELLECTUAL PROPERTY AND COMPETITION

We advise and represent clients in courts, EU authorities, and arbitration in relation to the protection of intellectual and industrial property rights (patents, models and designs, trademarks, trade and commercial secrets, domain names, and copyright), competition law, unfair competition, IT law and advertising.

REAL ESTATE

We assist Italian and foreign real estate operators (such as real estate funds and companies, construction companies, financial investors) in in connection with the purchase and sale of properties and real estate portfolios, the acquisition and disposal of investments in real estate companies, greenfield projects, as well as in the setting up, management, and liquidation of real estate funds.

Our team covers all the legal aspects surrounding real estate deals (including administrative law and town and country planning and permits) and is routinely involved in projects for the restoration, development, and sale of commercial, residential, and industrial sites as well as in the drafting of construction contracts (public and private).

We are particularly active in the hotelier and hospitality industries and provide a broad range of legal services, including as regards hotel management contracts of hotels, resorts, and similar facilities, structuring and sale of fractional ownerships, timesharing, and residence clubs.

FAMILY ASSETS & TRUSTS:

We advise in relation to the destination, protection, and development of family assets including shareholdings, real estate, and other valuable assets, also with a view to estate and succession planning and wills.

Our team takes care of the establishment and restructuring of family holding companies, trusts, and foundations and is able to assist in all the related non-contentious and contentious matter.
