The firm represents landowners, developers, purchasers, investors and lenders in the acquisition, sale and financing of all types of real estate, including undeveloped land, hotels, shopping centers, office buildings and residential and mixed-use developments. Business & Taxation:
Attorneys in the firm’s business and taxation practice assist clients in a wide-range of corporate needs, including the formation and operation of business entities; profit-sharing, pension and other employee benefit plans (with an emphasis on ESOP and ERISA); transactions governed by the UCC, mergers, acquisitions, dissolutions, asset purchases and financings; all aspect of bankruptcy matters (ranging from foreclosure, receivership, collection and enforcement of judgments in state and federal court to reorganization and liquidation in bankruptcy court); and health law and business issues unique to the practice of medicine. The firm’s corporate attorneys frequently work together with its real estate attorneys to structure, draft and close real estate transactions structured as corporate mergers or stock transfers. The firm’s estate planning and taxation practice serves a broad spectrum of clients, and involves analyzing and implementing plans and transactions to fit a client’s circumstances and concerns. The firm’s litigation and dispute resolution practice group is led by a team of skillful, experienced and successful litigators and trial attorneys with practice concentrations that include commercial litigation, complex business litigation, real estate litigation, construction litigation, insurance defense, errors and omissions and professional liability defense, defense of business and non-profit organizations, defense of directors and officers, employment litigation, subrogation actions, trade name and trade mark infringement actions, and other civil disputes and litigation matters, including disputes involving developers, contractors, and design professionals. A focus of the group is the practice of alternative and cost- and time-effective mechanisms to resolve claims and disputes, including mediation, arbitration, and negotiated settlement.
