Recent Highlights:

SYLLA & PARTNERS assists Infinity Energy and the SGRC / ELF Egypt Consortium in the negotiation of the concession agreement and the power purchase agrement, with the Guinean government, for the construction, maintenance and operation of a 200 MW solar power plant in Kankan, Republic of Guinea. This project, once completed, will be the largest solar power plant in Guinea. SYLLA & PARTNERS as local counsel of promoters performs the following tasks:
• participation in negotiations;
• review and drafting of the concession agreement and the electricity purchase contract;
• negotiation of the establishment agreement;
• the development of periodic notes or any comments requested by the promoters;
• the development of written and oral consultation;
• assistance in setting up the project company.

SYLLA & PARTNERS assists the Central Popular Bank of Morocco in financing the acquisition by Atlantic Financial Group (the "Borrower") of BNP PARIBAS 'stake in the International Bank for Commerce and Industry in Guinea (BICIGUI). SYLLA & PARTNERS as local counsel of the Banque Centrale Populaire performs the following tasks:
• review and drafting of the due diligence report;
• confirmation of the validity in Guinean law of the relevant security documents (essentially the pledge of actions by the Guinean target);
• the development of written and oral legal consultation;
• review of the conditions precedent to the entry into force of the credit agreement and to disbursement;
• issuing legal opinions.

Sylla & Partners assists the guinean government in the tender for awarding a concession on the Simandou iron deposit (blocks 1 and 2). The investment planned for the development of this project is estimated at tens of billions US dollars. SYLLA & PARTNERS as a counsel of the Guinean government has carried out the following tasks:
• drawing up the Special Specifications;
• participation in bid opening and tender review sessions;
• drawing up the minutes of the various tender evaluation sessions;
• the development of periodic notes.

SYLLA & PARTNERS assists the Guinean government in the negotiation with the Consortium Société Minière de Boké (SMB) - Winning the agreements allowing the exploitation of the Simandou iron ore deposit as well as the construction of a 612 km railway and a deep sea port. The amount of the planned investment is estimated at 14 billion USD. SYLLA & PARTNERS as a counsel of the Guinean government has carried out the following tasks:
• the drafting of the mining agreement as well as those relating to infrastructure (rail and port);
• the preparation of periodic memos presenting to the chief negotiators the strengths and weaknesses of the positions we intend to defend;
• coordinating the work of other experts (technical and financial)
• participation in negotiations;
• preparation of the minutes of the negotiation sessions

SYLLA & PARTNERS assists the Guinean government within the framework of the implementation of contracts relating to the sanitation works of the city of Conakry in the negotiation with the company YESILADAMLAR ATIK YÖNETİMİ VE TAŞIMCALIK A.Ş of the convention relating to pre-collection in the municipality of Kaloum, sweeping of the streets of the main axes crossing the 5 municipalities of the city of Conakry, collection of waste from the collection / regrouping points and transfer of waste to the landfill of the mine. As a counsel of the Guinean government we have carried out the following tasks:
• review of the draft agreement submitted by the partner with regard to the tender dossier and the applicable legislation;
• the preparation of memos on any clause disadvantaging the interests of the State;
• participation in negotiations;

SYLLA & PARTNERS assists the State in the award of a concession on the Kiniero gold deposit and the rehabilitation of the gold production plant which has been shutdown for ten years. SYLLA & PARTNERS as a counsel of the Guinean government has carried out the following tasks:

• participation in bid opening and tender examination sessions, in the evaluation of the various tenders and in the choice of the successful tenderer;

SYLLA & PARTNERS assists the Guinean government in the negotiation with Sycamore Mining Ltd and Sycamore Capital Corp Ltd of a framework agreement relating to the acquisition and investment in the Kiniéro gold mine. Following the aforementioned restricted consultation procedure, the Guinean government accepted Sycamore’s offer to take over the Kiniéro gold mine. The Kiniéro gold mine was operated (until 2014) by SEMAFO Guinea. SYLLA & PARTNERS as a counsel of the Guinean government has carried out the following tasks:
• the preparation of periodic memos presenting to the chief negotiators the strengths and weaknesses of the positions that we intend to defend;
• the development and review of the framework agreement relating to the acquisition and investment in the Kiniéro gold mine;
• participation in the negotiation sessions of the framework agreement.

SYLLA & PARTNERS assists the Guinean government in the negotiation with EXIM Bank of China within the framework of the implementation of the Credit Agreement signed on September 04, 2018 for the construction of the Souapiti dam. The amount of the loan Agreement is USD 1,175,468,700. SYLLA & PARTNERS as a counsel of the Guinean government has carried out the following tasks:
• the preparation of periodic memos presenting to the chief negotiators the strengths and weaknesses of the positions that we intend to defend;
• participation in negotiations;
• review of all project documents (Concession agreements, EPC construction contract, PPA electricity purchase agreements, operation and maintenance contract, transmission contract, coordinated management contract );
• negotiation of all financing documents (Credit Agreement, Framework Agreement for escrow accounts, Control Agreements for escrow accounts, Direct Agreement (Multiparty Agreement) Security Contracts under Guinean law);
• completing the registration formalities for collateral with the RCCM;
• preparation of the minutes of the negotiation sessions.

SYLLA & PARTNERS assists the Guinean Government in the framework of discussions with Henan China - BEGEC Works for the realization of the Project of the conclusion of different agreements and in particular a works contract (for the construction of a road bypassing the city of Boké) and a financing agreement to bind them to one or more financial institutions. Said road which will be toll road mainly intended for the transport by road of bauxite makes it possible to limit inter alia the pollution of the town of Boké. SYLLA & PARTNERS as a counsel of the Guinean Government performs the following tasks:
• participation in negotiations;
• the drafting and review of financing agreements;
• the drafting and review of the works contract;
• writing meeting minutes;
• writing comments or memos.

As part of the Framework Agreement signed between the Republic of Guinea and the People's Republic of China to set up a credit facility to finance certain infrastructure in Guinea, SYLLA & PARTNERS has been appointed as local counsel by Industrial of Commercial Bank of China (ICBC) to assist in this transaction. The transaction consists of the negotiation of the financing agreement and the escrow account agreement for the construction and rehabilitation of urban roads in Conakry. ICBC acts as Lead Partner of the Lenders. The amount of the Framework Agreement is USD 20 billion while that of the construction and rehabilitation project for urban roads in Conakry is 186 million euros, The loan repayment mechanism is based on mining taxes which will be paid directly by the Chinese Mining Companies in an escrow account administered by a Security Agent SYLLA & PARTNERS advised ICBC on aspects of local law and led a due diligence mission on the capacity of the Republic of Guinea and the validity of projects and other legal documents. SYLLA & PARTNERS also performed the following tasks:
• review of all financing documents;
• issuing legal opinions;
• monitoring the implementation of disbursement conditions;
• the answer to all questions relating to Guinean law.
