Ruchelman P.L.L.C. is a New York City based law firm providing U.S. tax planning services. The firm has a second office in Tel Aviv that offers U.S. tax advice to European and Near East clients throughout the workday in their local time zones.
The core practice of the Firm focuses on U.S. tax planning for cross-border transactions. This includes tax advice involving the international provisions of the Internal Revenue Code, analysis and advice on inbound and outbound transactions, advice and compliance related to cross-border transfer pricing matters, and representation before the I.R.S. Ruchelman P.L.L.C. also assists clients in addressing current reporting and compliance issues, including those relating to Form 3520, F.A.T.C.A.and the Corporate Transparency Act.
Assignments typically relate to investments in U.S. real estate for personal or business use by non-U.S. individuals, including in the hospitality industry. The firm has planned for the ownership of some of the luxury hotels in Colorado and assisted in a taking a portion of the hotel and offering it through a digital security offering. The Firm often structures for funds investing in U.S. target companies, and its executives' participation. The Firm provide tax advice relating to business expansions to or from the United States, which includes structuring the expansion as well as advising on how to avoid pit falls when companies first try the new jurisdiction. In these assignments, we collaborate with tax counsels from other countries to ensure a global solution for the client.
Many of the Firm’s clients are owner-managed businesses. This led the Firm to develop a unique private client practice that has been well received by business owners. For wealthy investors and global families, private client assignments include residency planning, gift and estate tax planning, pre-immigration planning, and expatriation planning. We utilize trusts in our planning in ways that take into account concerns in civil law countries and other jurisdictions that may tax trusts based on the residency of its beneficiaries. . As technology companies realized large liquidity events in recent years, the Firm developed a special understanding of equity-based compensation issues in cross border settings.
The tax practice is supported by a transfer pricing economist and is also contemplated by a corporate practice and a trust and estate practice. The corporate practice provides legal advice and preparation of documents related to mergers, licenses, asset acquisitions, employment agreements, and leases. The trust and estate practice offers drafting of trusts and wills.
The members of Ruchelman P.L.L.C. actively participate in professional organizations related to the practice of the Firm. These organizations include the American Bar Association (ABA) Section on Taxation, the Society of Trust and Estate Practitioners (STEP), the New York State Bar Association (NYSBA), the American College of Trust & Estate Counsel, the American Law Institute, the Practicing Law Institute, and the American College of Tax Counsel.
Members of the firm are frequent speakers at conferences in Europe and the U.S. sponsored by the above-mentioned organizations.
The Firm publishes a bi-monthly tax journal (Insights) devoted to tax issues in the U.S. and other countries, where team members and guest authors write articles discussing matters of interest to the cross-border tax community. The Firm is managed by its two equity partners, and supported by additional six fee earners, four of whom are partners.
