Investment Funds:
Raveh Haber & Co. is a leading Israeli firm in the field of establishing private investment funds and vehicles and has one of Israel’s most active investment management departments. Senior members of the firm’s legal team have substantial experience in Israel and the US in tax and regulatory matters, and are involved from the inception of the raising of each fund through the investment stage, taking into account all relevant considerations.
The firm represents international ‘feeders’ investing money in foreign funds, and Israeli funds investing in Israel or abroad, many institutional and non-institutional investors investing in Israel and abroad in funds, and other international partnerships including in the US, Germany, UK, Serbia, India, China and Russia. Raveh Haber & Co. is also highly involved in co-investments. As part of its investment management practice, the firm is involved in the founding of managers of investment funds, including tax planning and inter-generational planning.
The firm has a unique practice in representing public companies and institutional investors in joint investments in overseas commercial real estate. Representation includes investment structuring and relevant legal matters. The firm represents big commercial centres, a public company that has acquired properties in India, the US, and Spain, mainly in joint investment deals worth over $1 billion.
The firm served as lead legal counsel in the formation of Noy 3 Infrastructure and Energy Investments, L.P., which raised NIS 1.6 billion in its initial closing, the Yesodot Real Estate and Development Fund, an Israeli urban renewal fund which raised a $110 million annex fund and a $250 million successor fund from Israeli institutional investors, the Electra Multifamily Investment Funds, making investments in multifamily apartment complexes in the Southeastern United States, in raising $400 million in capital commitments, and Israeli Growth Partners II in its raising $230 million in capital commitments.
Raveh Haber represented several of its clients in raising co-investment consortia, including the Noy Infrastructure fund in connection with its raising of an institutional co-investment consortium of about 100 USD million to purchase Abengoa’s stake in the Ashalim solar energy thermal power station and an additional institutional co-investment consortium of about 120 USD million to invest in the SPC holding a conditional license to build and operate a 340 MW power plant in Kochav Hayarden, Israel, based on pumped storage technology, and Israel Growth Partners in connection with several of its growth investments in Israeli technology companies.

Taxes & Private Clients:
The firm handles domestic and international tax matters and serves clients in all civil tax matters, including with respect to income tax and VAT. The tax department conducts many assessment proceedings with the Tax Authority, handles tax litigation, has major experience in pre-ruling approvals and assessment agreements, and assists clients in procedures required for full diligence reporting. The department leads the market in all matters regarding tax consultancy to investment funds and managers regarding structuring of funds and their managers, and planning investments for funds’ managers. The firm provides tax consultancy to investment funds it supports and international tax consultancy to clients in overseas real estate investments – consultancy requiring working closely with foreign consultants and sometimes obtaining approvals from the Israel Tax Authority.
The department advises the firm’s private clients and represents Israel’s senior managers in their employment agreements, including with respect to tax matters, with an emphasis on international tax. The department also handles tax litigation, mainly on legal subjects involving international tax matters.
