Services included negotiation and drafting of agreements for waste collection, design, construction, public and private financing and operation of transfer station, hauling, intermodal, recycling and composting facilities, landfill gas to energy projects, and long haul and disposal of waste

Lender Services & Finance:
Experienced in both commercial and public finance matters, routinely representing a number of national and regional financial institutions, as well as local and regional municipalities and nonprofits.
■ Represented financial institution in closing three interrelated syndicated loans involving retirement facilities in three different states under common management but with divergent ownership. The transaction involved numerous complex healthcare and ownership issues and required creative structuring of security interests to fully cross-collateralize the facilities
■ Represented bank on all aspects of loan to develop new Weyerhaeuser Corporate headquarters, involving unique negotiations between lender and major tenant
■ Served as bond counsel for the $300 million Washington portion of approximately $800 million fixed and variable rate revenue bond financings simultaneously issued in four states for a national Catholic healthcare system

Litigation:
Experienced in a wide array of industries and have represented clients in numerous high-profile cases that produced outstanding results.
■ Represented an international pharmaceutical company in product liability cases in Washington State, including class actions and individual cases
■ Represented a national life insurance company and its subsidiary in suits in federal and state courts arising out of approximately $800 million in real estate investments. Plaintiffs and putative class action plaintiffs asserted claims for federal and state securities fraud, breach of fiduciary duties, breach of contract, common law fraud, and negligence
■ Represented a timber company in an action brought by 242 residents and property owners involving a paper mill. Plaintiffs asserted claims under the Model Toxics Control Act, the Hazardous Waste Management Act, and Washington air pollution regulations, and a variety of tort claims
■ Represented an international company in an antitrust class action where class plaintiffs alleged a price fixing conspiracy, seeking compensatory damages of $325 million and treble damages of $975 million

Real Estate & Land Use:
Represent private and public clients in land use and development, real estate, and environmental services, from front-end feasibility and land use analysis, to entity formation, financing needs, real estate transactions, permits and other entitlements
■ Represented national company to secure City and State approvals for annexation and phased development of 2,000-acre master planned community, including permits and financing agreements for major roadway and utility infrastructure, subdivisions, and construction permits
■ Advised clients on regulatory compliance, and litigation of cost recovery and contribution actions, under state and federal environmental laws. Successfully managed remediation and regulatory closure of complex contaminated sites
■ Represented international retail client on development of new urban campus with 3.3 million sq ft of office space in Seattle, including multiple street vacations
