The firm was established in October 2002 as a spin-off of the legal department of a leading Brazilian company in the fields of engineering, telecommunications, and information technology.
The firm is qualified in the areas of contracts, corporate law, tax law, intellectual property, public and administrative law, and real estate law. The partners are experienced in structuring and leading complex negotiations, in Brazil and abroad, particularly in the United States and Latin America, focusing on the infrastructure, technology, and venture capital industries. Due to the sophisticated character of the work provided by the firm, a founding and/or senior partner is always directly and actively involved in the works performed.

Special Situations:

The firm’s experience, qualification, and structure allows it to provide bespoke legal advice to groups in special situations, especially in high distress circumstances, integrating other professionals (including lawyers from other firms) to conceive, and assist in the implementation of, a complex and articulated plan of action to clients. In particular, one of the founding partners at the firm, with the assistance of other partners, has been a leading negotiator of Brazil’s largest and most important leniency agreement.

The firm is best known for its excellence in advising its clients in the planning, financing and implementation of capital projects especially in the following industries: energy, engineering/construction, oil and gas, steel, transport, water, shipbuilding, information and communication technologies, and mining. Project finance, engineering, procurement, equipment supply, and construction agreements for state-owned (including concessions and PPPs) and private projects are the focus areas of the firm’s project team.

Corporate & M&A:
The corporate and M&A team has expertise in the organisation and reorganisation of companies or groups, M&A transactions, foreign investment in Brazil and Brazilian investment abroad, joint-venture and consortium, and in the advice of clients in corporate control and corporate governance strategies and mechanisms. The team is also recognised for its work in employee incentive programs and ownership models.

Information & Communication Technologies:
The in-depth knowledge and experience in this industry enables the firm to offer its clients a wide range of legal services. Brazilian and international companies, telecom carriers, software houses, technology vendors and integrators are among the clients that have hired the firm’s ICT team for innovative projects involving telecom regulation (consulting and litigation), structuring of online businesses, technology start-up companies and Brazilian subsidiaries of global technology firms, outsourcing of telecom and IT infrastructure, funding of technology research, localisation of agreements, risk management and compliance policies, and government contracts.

Intellectual Property:
The firm advises software and technology developers, publishing houses, content syndication providers and advertisement agencies in the protection of their intellectual property rights, creation of new content and technology, and the legal relationship with their customers and other key stakeholders.

The firm represents clients in judicial litigation in the areas of civil, commercial and administrative laws, including administrative litigation in connection with concessions, PPPs, public procurement and before regulatory agencies, as well as in arbitration, especially in conflicts related to construction contracts, real estate, energy projects, and corporate and M&A transactions.

Agribusinesses, real estate developers and construction companies engage the firm in real estate acquisition and sale transactions; structuring of real estate developments; built-to-suit, build-operate-transfer and built-lease-transfer projects; financing and security involving real estate.

Tax planning and legal advice is a key success factor for clients doing business in Brazil and other Latin American countries through Brazil. The firm’s tax team advises clients in relation to federal, state and municipal taxes; consortia taxation and tax procedures; foreign investors and non-residents regarding taxation in Brazil.
