Our team is known for working with various aspects of corporate restructuring, with a focus on corporate governance, mergers and acquisitions, preparation of various corporate and business documents (minutes, limited liability company membership agreements, bylaws, and memoranda, among others). We also help our clients choose and implement corporate structures that meet their needs, being mindful of how the choice will affect other legal areas, including civil and tax law. We advise our clients in transactions involving investments entering Brazil, including monitoring the whole range of transactions involving the transfer of capital to Brazil and its repatriation, reinvestment of profit, taking out loans and domestic and foreign fundraising.

In the contract area, we work with all types of commercial and civil contracts, including their negotiation and drafting, which we do with a multidisciplinary team that monitors the development of legislation and court decisions, always working from a pro-business perspective. We help our clients with succession planning, with a focus on tax issues, in order to create effective legal structures that meet our individual and corporate clients’ needs, minimizing the risks inherent in the complex Brazilian legal system.
