Work highlights

■ Acted as Vietnam competition counsel for USG (NYSE: USG) in Knauf’s acquisition of USG for USD7 billion, resulting in competition clearance by the Vietnam competition authorities

■ Performed comprehensive due diligence and advised on Vietnam aspects for Nippon Steel’s acquisition of BlueScope Steel businesses as part of a USD 1.36 billion joint venture.

■ Acted for Merck on the Vietnam aspects of the global Merck/Schering-Plough merger valued at USD 41.1 billion.

■ Acted for Tencent in its acquisition of a minority interest in VNG Corporation (commonly known as Vinagames).

■ Advised on the corporate reorganization of Alibaba's "Lazada" e-commerce business and Ipsen Pharma.

■ Advised of the acquisition of land and the establishment of factories for Union Underwear (owner of the Fruit of the Loom brand), JA Solar, Sapa (manufacturer of extruded aluminum profiles), and Top Glove.

■ Obtained foreign investment approval and incorporated the Vietnam entities of Danone, Union Underwear (d.b.a. Fruit of the Loom), Gap, Rocket Internet (d.b.a. Lazada ecommerce), JA Solar, Top Glove, Werner Assess Equipment, Merck Sharp & Dohme, and Groupon.
