About

Provided by Dentons Jiménez de Aréchaga

Our corporate department has significant expertise in business advice, especially in corporate, financial and commercial matters. We provide advice in several industries (financial, real estate, agribusiness and natural resources, food industry, medical, telecommunications, etc.) and in every aspect of business law, such as structuring of start-ups, private equity, corporate finance, corporate governance, mergers and acquisitions, offshore transacting, restructurings, securities, guarantees, inter alia.

Our corporate department is big enough to attend the needs of multinationals such as McDonald’s, Mondelez (Kraft Foods), Pepsi, SACYR, COPASA, Google, Dole, Fox Channels, Sacyr, and Olam, inter alia.

Related to our varied experience we:

- Advised PepsiCo in successful negotiations with the Government to enlarge its concentrate production plant (one of the world’s largest, which exports to over 30 countries) in Colonia Free Zone with an investment of 50,000,000 USD.

- Providing advice to Atlantica Yield in the acquisition of Estrellada S.A., a company belonging to Enel which owned a 50 MW wind farm, and also to Banco Santander (Uruguay) in their financing of Atlantica Yield.

-Implementing the merger of Mondelez in Uruguay, a lengthy process that finally ended in January 2019, partaking in long and intricate negotiations that have only very recently come to fruition, including a full tax exemption on the transaction.
