The Firm’s Corporate and Special Projects Department (CSPD) provides advice on Philippine laws on foreign investments, particularly on doing business issues, choice of business entities, appropriate structures to comply with Filipino ownership requirements, and possible availment of fiscal and non-fiscal incentives of foreign-owned subsidiaries. CSPD has assisted Filipino, as well as foreign, investors in establishing joint ventures in the Philippines, and is well-versed with the intricacies of joint venture relationships from its creation to dissolution. It also routinely advises and assists in the establishment of other forms of business ventures in the Philippines and registration with government agencies, including the Board of Investments and the Philippine Economic Zone Authority.

CSPD has also been involved in landmark M&A transactions in the Philippines, dating back from the seventies and eighties involving the restructuring of the whole coconut industry up to the current diversifications of top Philippine companies into areas other than their core businesses. It has also been engaged in complex restructurings of conglomerates in preparation for initial public offerings and in structuring companies for purposes of complying with allowable foreign equity holdings in companies holding lands, engaged in public utilities and exploitation of natural resources, and other activities which are nationalized under Philippine laws.
