Watson Farley & Williams (“WFW”) has advised BEE Development GmbH (“BEE”) on the acquisition from Greencells Group (“Greencells”) of shares in several Dutch SPV energy companies (the “SPVs”) with a combined c. 79 MW solar portfolio under development in the Dutch provinces of Overijssel and Limburg.

WFW advised BEE on the drafting and negotiation of the sale and purchase agreement, which provides BEE the right to eventually acquire the remaining shares in the SPVs, subject to the fulfilment of certain conditions.

Hamburg-based BEE acquires and operates renewable energy projects, most notably in the wind and solar sectors. Its current portfolio has a combined capacity of 1000+ MW.

As one of the largest European developers of solar power plants, Greencells has already been successfully involved in the construction and planning of 2.1+  GWp capacity in more than 25 countries.

The WFW Italy Energy team advising BEE was led by Italy Head and Partner Eugenio Tranchino, working closely with Counsel Luca Sfrecola and Associate Francesco Vanzaghi. Tax advice was provided by Senior Associate Alfredo Guacci Esposito.
