The deal involves the sale of the production assets located in Konin (Aluminium Konin). Having signed a preliminary sales agreement, the shareholders of Impexmetal S.A., then made the commitment to sell their shares in the company. The price shall undergo the standard adjustment of the company enterprise value, agreed by the parties at PLN 938M (i.e. USD 240M), with the values of i.a.: net debt, net working capital, pre-paid investment outlays and other adjustments arising from the terms of the deal.
Impexmetal S.A. is a company which operates mainly in the non-ferrous metals sector. Impexmetal S.A. specializes in the production of rolled aluminium products. The company has been distributing these metals and semi-finished products abroad for more than 50 years.
Lawyers from SSW Pragmatic Solutions were responsible for offering comprehensive legal services on the deal.
