Shearman & Sterling is representing the banks including Goldman Sachs who are acting as joint placements agents in connection with Plus’ business combination with special purpose acquisition company (SPAC) Hennessy Capital Investment Corp. V.
The business combination is expected to close in the third quarter of 2021, subject to the satisfaction of the necessary regulatory approvals and customary closing conditions, and give the combined company an implied pro forma equity value of $3.3 billion.
Headquartered in Silicon Valley, Plus is an autonomous driving technology company which develops automated trucks to enable safer and more fuel-efficient commercial transport. Plus is currently working with some of the leading truck manufacturers, shippers and fleet operators to begin mass production of its automated driving system.
