MFW Fiałek advised Custodia Capital and Custodia Capital ZZASI sp. z o.o. FO Opportunities ASI S.K.A. on the acquisition of a majority stake in Profi S.A.
The firm provided comprehensive transactional support, including, among others, structuring the transaction to facilitate a joint investment by a group of investors, conducting due diligence of the acquired company, negotiating the share purchase agreement, preparing and negotiating the investment and shareholders' agreement, and executing the closing. As part of our services, we also represented the client in proceedings before the Polish Office of Competition and Consumer Protection (UOKiK) regarding the notification of the intended concentration.
