Paris, January 20, 2023 – Jeantet advised Intrasense, a company specializing in medical imaging software solutions listed on Euronext Growth Paris, in the context of the acquisition of a stake in its capital by Guerbet Group, a leading global player in the medical imaging market listed on the regulated market of Euronext Paris, through a reserved capital increase for a total amount of €8.8 million.
Under the terms of this transaction, a total of 20,000,000 new Intrasense shares were subscribed by Guerbet at an issue price of €0.44 per share, representing a premium of 34.15% over the last closing price of the shares of Intrasense preceding the issue. The settlement-delivery of the new shares issued in the framework of this capital increase and their listing on Euronext Growth Paris took place on January 13, 2023. Following this capital increase, Guerbet holds 39% of the share capital of Intrasense and is now the reference shareholder of Intrasense.
Following this acquisition of a stake in Intrasense, Guerbet plans to file a voluntary tender offer for the balance of the shares of Intrasense at a price of €0.44 per share, in order to offer Intrasense’s shareholders an immediate liquidity under the same price conditions.
Guerbet’s acquisition of a stake in Intrasense will enable Intrasense to enhance its product offering and benefit from the support of a major shareholder to carry out the investments required to
implement its growth plan. It will enable Guerbet to enhance the value of its technology and artificial intelligence algorithms.
