Thomson Geer advised on the sale by family shareholders of 75 per cent of the shares in 100-year-old national transport company Simon Transport to Japanese logistics giant Senko Group.
Thomson Geer advised on deal structure and pre-deal governance matters, matters relating to marketing of the company to potential investors, drafting and negotiation of all transaction documents, Foreign Investment Review Board and change of control matters, ongoing employment arrangements, put and call options for future transfer of the remaining 25 per cent of shares and all ancillary documents.
The matter is significant as it is the first time the Simon family has sold a share of the company. It also enables Senko to expand its operations in Australia.
