Thomson Geer acted for international regulatory and compliance software company Ideagen in its acquisition of health, safety, environment and quality software company Lucidity Software.
The addition of Lucidity builds Ideagen's footprint and increases the support it can offer to regulated industries in the region.
Thomson Geer's role included due diligence, FIRB advice, dealing with cross border elements including shareholder approval requirements of the New Zealand vendor, drafting and negotiation of transaction documents to final form, negotiating warranty and indemnity insurance and attending to completion.
The team consisted of Partners Eugene Fung and Mark Branagan, Special Counsel Melanie Mitchell and Lawyers Lachlan Peat and Alexandra Smith.
TG also advised Ideagen on its acquisition of Australian software company OnePlace Solutions in May 2023.
