Mexico City, August 2020.- Basham, Ringe y Correa, through our partners Miguel Angel Peralta and Pedro Said, and the associates Patrick Stockdale and Paolo Aponte, has advised Arago Gestion, S.A.P.I., in the creation of Trust no. CIB/3269, by which a 150 million dollars public offering of investment project certificates (CERPI, the first one of 2020) was carried out. Arago is the manager of such trust.
Our advice included preparing the Trust Agreement, Managing Agreement, Prospectus, and other ancillary documents. Prepared the brokerage agreement entered into between the trust, as issuer, and Banorte and BBVA, co brokerage intermediaries and structuring agents.
Monex also participated as representative of the holders of certificates.
The trust obtained the listing authorization from the National Banking and Securities Commission (Comisión Nacional Bancaria y de Valores) on July 16, 2020, and the certificates were duly listed on July 21, 2020 in the Mexican Stock Exchange (Bolsa Mexicana de Valores).
Our Tax Partner, Francisco Matus, also participated in the transaction.

The transaction closed on July 21 st , 2020. It is important to highlight that this deal is the first CERPI in this year.
