BBGS ABOGADOS Peru,Saco-Vertiz & Landerer participated in the financing operation whereby Interbank and Scotiabank Peru (the "Lenders") granted a loan per S/107'165,092.00 (Approx. US$ 30 million) in favor of Bembos S.A.C., EP de Franquicias S.A.C., EP de Restaurantes SAC, Alert del Perú SAC, Nutra SAC and Corporación Peruana de Restaurantes S.A.C., as "Borrowers", with the intervention of Scotiabank Perú S.A.A., as Administrative Agent and Guarantee Agent, and NG Restaurants S.A. and Servicios Compartidos de Restaurantes S.A.C., as "Guarantors". This transaction was complex, not only because of the size of the loan, but also because of the number of parties involved. This transaction had a success closing in February 2022.
It should be noted that the Borrowers are owners of representative and well-positioned trademarks in the food market in Peru, such as "Bembos", "Papa John's", "Popeyes", "Dunkin Donuts", "Don Belisario" and "China Wok".
BBGS Saco-Vertiz & Landerer Abogados acted as legal advisor to the Borrowing and Guarantor companies. Carlos Saco-Vertiz Tudela, founding partner, was in charge of the whole transaction; while Gerardo Guzmán Espino, partner, was in charge of the Due Diligence; and Ygor Valderrama Reveggino, a junior associate, participated in the transaction’s documents and the Due Diligence.
Garrigues Abogados acted as legal advisor to the Lenders (Banks) and the Agents. The lawyers who participated were Jose Francisco Meier, Partner, and Miluska Gutierrez and Maria Paz Delgado, Associates.
Guillermo Cabieses and Gustavo Yooko participated as Legal Director and lawyer, respectively, of Nexus Group, a company that provided financial advice to the Borrowers. Also, Javier Quicaño participated as Legal Manager of the companies of the NGR Group.
