We acted as counsel to a Administrador Fibra Mty, S.C., as the manager of the Real Estate Investment trust Number F/2157 (“Fibra MTY”), the first 100% internally managed real estate investment trust, in its follow-on offering of Certificados Bursátiles Fiduciarios Inmobiliarios (“CBFIs”) for an amount of MXN$3’900,000,000.00 (three hundred nine thousand million Pesos 00/100 M.N.), considering the green shoe option, under the multi-shelf program of CBFIS and long-term fiduciary notes (Certificados Bursátiles Fiduciarios), authorized by the National Banking and Securities Commission (Comisión Nacional Bancaria y de Valores) for an amount of up to MXN$10’000,000,000.00 (ten thousand million Pesos 00/100 M.N.).

Furthermore, we acted as counsel to FIBRA MTY in the implementation of certain amendments to the Issuer Trust, in order to enhance and strengthen their corporate governance, this amendment are subject to the approval of the National Banking and Securities Commission (Comisión Nacional Bancaria y de Valores)
